1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the services, website, mobile application, and facilities operated by DEXA Lab Philly, a trade name of Spartan Kismet LLC (“DEXA Lab Philly,” “we,” “us,” or “our”), located at 261 Old York Road, Suite 524, Jenkintown, PA 19046.

By booking an appointment, visiting our facility, using our website or app, or otherwise engaging with our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use our services.

2. Description of Services

DEXA Lab Philly provides body composition scanning and wellness diagnostics services, including but not limited to:

  • DEXA (Dual-Energy X-ray Absorptiometry) body composition scans;
  • VO2 Max cardiopulmonary exercise testing;
  • Resting Metabolic Rate (RMR) testing;
  • Related wellness and fitness diagnostic services as may be offered from time to time.

Our services are intended for health, fitness, and wellness purposes. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Our services do not constitute medical advice, and our staff are not acting as your physician or healthcare provider.

3. Eligibility

You must be at least 18 years of age to use our services independently. Clients between the ages of 13 and 17 may use our services with the written consent of a parent or legal guardian, who must be present at the facility during the appointment. We do not provide services to children under 13.

By using our services, you represent and warrant that you have the legal capacity to enter into these Terms.

4. Booking, Appointments, and Scheduling

Appointments may be booked through our website, by phone, or through our online booking platform. By booking an appointment, you agree to:

  • Provide accurate and complete information at the time of booking;
  • Arrive on time for your scheduled appointment (late arrivals may result in a shortened session or rescheduling);
  • Notify us of any cancellation or rescheduling at least 24 hours before your appointment time.

4.1 Cancellation and No-Show Policy

If you fail to cancel or reschedule at least 24 hours before your appointment, or if you fail to appear for your appointment without notice (“no-show”), we reserve the right to charge a cancellation fee of up to the full price of the scheduled service. Repeated no-shows may result in a requirement to prepay for future appointments.

5. Pricing and Payment

All prices for our services are listed on our website and/or at our facility and are subject to change without prior notice. Payment is due at the time of service unless otherwise agreed in writing.

  • We accept major credit cards, debit cards, HSA/FSA cards, and other payment methods as may be specified at the time of booking or check-in;
  • All prices are quoted in U.S. dollars and are exclusive of applicable taxes;
  • Promotional pricing, packages, and discounts may be subject to additional terms and conditions;
  • Gift cards and prepaid packages are non-refundable and non-transferable unless otherwise stated.

6. Refund Policy

Refunds are handled on a case-by-case basis at the sole discretion of DEXA Lab Philly. Generally:

  • If a scan or test cannot be completed due to equipment malfunction or our error, you will receive a full refund or complimentary rescheduling;
  • If a scan is completed and results are delivered, no refund will be issued;
  • Prepaid packages and memberships are non-refundable after the first session has been used.

7. Health Disclosures, Waivers, and Assumption of Risk

Prior to your first appointment, you will be required to complete a health intake questionnaire and sign a liability waiver and informed consent form. By doing so, you acknowledge and agree that:

  • You have accurately disclosed all relevant health information, including pregnancy status, recent medical procedures (including barium or nuclear medicine studies), implanted medical devices (pacemakers, defibrillators, metal implants), and any conditions that may affect the safety or accuracy of the scan;
  • DEXA scanning involves exposure to a very low dose of ionizing radiation (approximately 0.001 mSv per scan, equivalent to a fraction of a day’s natural background radiation). While the dose is extremely low, you assume the risk associated with this exposure;
  • VO2 Max testing involves vigorous physical exertion and may pose risks to individuals with cardiovascular, pulmonary, or musculoskeletal conditions. You certify that you are physically capable of performing the test and assume all associated risks;
  • Our services are not a substitute for medical evaluation, diagnosis, or treatment. You should consult your physician before making any health decisions based on your results;
  • DEXA Lab Philly, its owners, employees, and contractors are not liable for any injury, illness, or adverse outcome resulting from the use of our services, except to the extent caused by our gross negligence or willful misconduct.

8. Scan Results and Reports

Your scan results will be provided to you via one or more of the following methods:

  • In-person review at the time of your appointment;
  • Email delivery as a PDF report to the email address you provide;
  • Access through our client-facing mobile application or web portal.

You are responsible for ensuring that the email address and account credentials you provide are accurate and secure. We are not responsible for results delivered to an incorrect email address provided by you, or for unauthorized access to your results caused by your failure to secure your account credentials.

Scan results are provided for informational and wellness purposes only. They do not constitute a medical diagnosis. If your results indicate findings of concern (such as low bone mineral density), we strongly recommend that you consult with a qualified healthcare provider.

9. User Accounts

If you create an account on our website or mobile application to view your scan results, you agree to:

  • Provide accurate registration information;
  • Maintain the security and confidentiality of your login credentials;
  • Notify us immediately if you suspect unauthorized access to your account;
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if we suspect unauthorized use or violation of these Terms.

10. Intellectual Property

All content on our website, mobile application, marketing materials, and reports — including but not limited to text, graphics, logos, trademarks, images, software, and report templates — is the property of DEXA Lab Philly (Spartan Kismet LLC) or its licensors and is protected by U.S. and international intellectual property laws.

You may not reproduce, distribute, modify, publicly display, or create derivative works of any of our proprietary content without our prior written consent. Your individual scan results and reports are provided for your personal, non-commercial use only.

11. Prohibited Conduct

When using our services, website, or app, you agree not to:

  • Provide false, misleading, or incomplete information on intake forms or during registration;
  • Attempt to access another client’s account, data, or scan results;
  • Use our website or app for any unlawful purpose or in violation of these Terms;
  • Interfere with or disrupt the operation of our website, app, or systems;
  • Reverse-engineer, decompile, or disassemble any software or technology used in our services;
  • Harass, threaten, or behave abusively toward our staff or other clients.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY PENNSYLVANIA LAW, DEXA LAB PHILLY (SPARTAN KISMET LLC), ITS OWNERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, WEBSITE, OR APP, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms shall limit liability for death or personal injury caused by gross negligence or willful misconduct, or for any liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless DEXA Lab Philly (Spartan Kismet LLC), its owners, officers, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms;
  • Your use of our services, website, or app;
  • Your violation of any applicable law or regulation;
  • Your provision of false, inaccurate, or incomplete information on intake forms or during registration;
  • Any claim by a third party related to your use of our services or your scan results.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us first and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most concerns can be resolved quickly through direct communication.

14.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Montgomery County, Pennsylvania. You consent to the personal jurisdiction and venue of such courts.

14.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the “Effective Date” at the top of this document and post the revised Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the updated Terms, you must discontinue use of our services.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, any liability waivers or consent forms you sign, and any other written agreements between you and DEXA Lab Philly, constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, or representations.
